AMENDMENT 1
TO
CITY OF GRAND TERRACE PASSENGER
AMENITY PROGRAM AGREEMENT
BY AND BETWEEN
OMNITRANS
AND
CITY OF GRAND TERRACE
This Amendment 1, effective jj jjE 11 , 2019 is entered into by and between Omnitrans
("Omnitrans") and City of Grand Terrace ("City").
RECITALS
WHEREAS:
I. Omnitrans and City have entered into City of Grand Terrace Passenger Amenity
Program Agreement dated March 27, 2018 ("Agreement"); and
11. Omnitrans has adopted an Omnitrans System Commercial Advertising Policy and
Content Guidelines, effective January 1, 2019 (the "Advertising Policy"); and
III. The Advertising Policy is applicable to the Agreement, and governs the
advertising that may be installed on the Amenities (as that term is defined in the
Agreement); and
IV. Omnitrans and City now desire to amend the Agreement to replace Section
3.1.11, Advertising Content, in its entirety so that the Agreement incorporates, by
reference, the Omnitrans Advertising Policy and Content Guidelines in place of
the content guidelines in the Agreement.
NOW THEREFORE, Omnitrans and City hereby agree to amend the Agreement as follows:
I. Delete Section 3.1.11, Advertising Content, in its entirety and replace with the
following:
3.1.11 Advertising Content. All advertisements installed on the
Amenities will comply with the Omnitrans Advertising Policy and
Content Guidelines, as may be amended from time to time
("Advertising Policy"), and of which a copy has been provided to
City and is available on file with Omnitrans or online at
http://www.omnitrans.org/about/pdf/Omnitrans_System_Advertisi
ng_Policy.pd£ Each time Omnitrans amends the Advertising
Policy, Omnitrans shall notify the City of such amendments; shall
notify the City of the date that such amendments are effective; and
shall also provide a copy of the latest version of the Advertising
Policy to the City containing such amendments.
II. Except as hereby amended, the Agreement remains in full force and effect.
