Jason Karger Agreement-2018-52 ASSIGNMENT AND ASSUMPTION AGREEMENT
This ASSIGNMENT AND ASSUMPTION AGREEMENT (this "Agreement"), dated as
of thisl lth day of November 2018, is entered into by and between Jason Karger, a sole owner
("Assignor"), and Grand Terrace 17 (Crestwood Communities), a limited liability corporation
("Assignee"), with reference to the following facts:
RECITALS
A. Prior to October 25, 2018, Assignor was the owner of Tract 18071 ("Property"),
and desires to develop 17 residential units on the Property("Project").
B. Assignor acquired the following entitlements for development of the Property
from the City of Grand Terrace:
• Tract 18071 as recorded in map book 351 pages 36 to 38 of the records of San
Bernardino County Recorder's Office.
(each of the above-mentioned documents are incorporated herein by this reference and
hereinafter referred to as the"Entitlements").
C. As part of the Entitlements, Assignor entered into the following agreements with
the City of Grand Terrace for the completion of certain related public improvements:
• Subdivision Agreement executed on 5-21-18, recorded document 2018-0387040
in the records of San Bernardino County Recorder's Office.
(each of the above-mentioned documents are incorporated herein by this reference and
hereinafter referred to as the"Agreements")
D. The Agreements require the consent of the City of Grand Terrace prior to any
assignment of such Agreement by Assignor to Assignee.
E. Assignor and Assignee now therefore desire to enter into this Agreement for the
purpose of assigning all of Assignor's rights, ownership, liabilities and obligations concerning
:the Entitlements and the Agreements to Assignee, and Assignee desires to assume the same.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, Assignor and Assignee hereby agree as follows:
AGREEMENT
1. The Recitals set forth are true and correct and incorporated herein by this
reference.
2. As of the Effective Date, Assignor assigns, sells, conveys, and otherwise transfers
to Assignee all of Assignor's interests, rights, and obligations under the Entitlements and the
Agreements. As of the Effective Date, Assignor shall not be liable for the performance of any
obligations, terms, covenants, or conditions under the Entitlements and the Agreements arising
after the Effective Date.
3. As of the Effective Date, Assignee assumes and agrees to perform all of
Assignor's interests, rights, and obligations under the Entitlements and Agreements arising after
the Effective Date.
4. The principal address of Assignor and Assignee for purposes of the Agreement
and any and all related agreements is as follows:

To Assignee: Grand Terrace 17, LLC (CrestWood Communities)

5. This Agreement is made for the sole benefit and protection of the parties hereto
and their successors and assigns, and no other person or persons shall have any right of action or
right to rely hereon. As this Agreement contains all the terms and conditions agreed upon
between the parties, no other agreement regarding the subject matter thereof shall be deemed to
exist or bind any party unless in writing and signed by the party to be charged.
6. This Agreement may be executed in several duplicate originals, each of which
shall be deemed an original, but all of which together shall constitute one and the same
instrument, and shall become effective upon execution by the parties, as indicated by the
signatures below. When fully executed, the date of this Agreement shall be the later of the dates
indicated below.
7. This Agreement shall be governed by the laws of the State'of California.
8. If any term or provision of this Agreement, the deletion of which would not
adversely affect the receipt of any material benefit by any party hereunder, shall be held by a
court of competent jurisdiction .to be invalid or unenforceable, then the remainder of this
Agreement shall not be affected thereby and each other term and provision of this Agreement
shall be valid and enforceable to the fullest extent permitted by law.
9. The parties hereto hereby agree to execute such other documents and to take such
other action as may be reasonably necessary to further the purposes of this Agreement.
10. Each party hereto hereby represents that the person executing this Agreement on
behalf of said party has full authority to do so and to bind the party to perform pursuant to the
terms and conditions of this Agreement.

Grading Permit,then this obligation shall be void and of no effect;otherwise it shall be and
remain in full force and effect.
The said Surety,-for value received, hereby stipulates and agrees that no change,
extension of time, alteration or additions to the terms of the Permit or to the work or
improvements to be performed thereunder or to the grading plans attached to said Permit
shall in any wise affect the obligations on this Bond, and it does hereby waive notice of any
such change, extension of time, alteration or additions to the terms of the Permit or to the
work or improvements or to the plans.
In the event suit is brought upon this Bond by the City and judgment is recovered,

Whereas, the City Council of the City of Grand Terrace, State of California, and
Crestwood Communities whose mailing address is 510 West Citrus Edge Street. Glendora, CA
91740. (hereinafter designated as "the principal") have entered into an agreement whereby the
Principal agrees to install and complete certain designated public improvements, which
agreement, dated , 20 , and identified as project Improvements at Tract No 18071 is
hereby referred to and made a part hereof;and
Whereas, Under the terms of the agreement, the principal is required before entering
upon the performance of the work, to file a good and sufficient payment bond with the City of
Grand Terrace to secure the claims to which reference is made in Title 3 (commencing with
Section 9000)of Part 6 of Division 4 of the Civil Code.
Now, therefore, the principal and the undersigned as corporate surety, are held firmly
bound unto the City of Grand Terrace and all contractors, subcontractors, laborers, material
suppliers, and other persons employed in the performance of the agreement and referred to in
Title 3 (commencing with Section 9000) of Part 6 of Division 4 of the Civil Code in the sum of
Four Hundred Fo -Ei t Thousand dollars ($448.000.00), for materials furnished or labor
thereon of any kind, or for amounts due under the Unemployment Insurance Act with respect to
this work or labor, that the surety will pay the same in an amount not exceeding the amount
hereinabove set forth, and also in case suit is brought upon this bond, will pay, in addition to the
face amount thereof, costs and reasonable expenses and fees, including reasonable attorney's
fees, incurred by City in successfully enforcing this obligation, to be awarded and fixed by the
court,and to be taxed as costs and to be included in the judgment therein rendered.
It is hereby expressly stipulated and agreed that this bond shall inure to the benefit of any
and all persons, companies, and corporations entitled to file claims under Title 3 (commencing
with Section 9000) of Part 6 of Division 4 of the Civil Code, so as to give a right of action to
them or their assigns in any suit brought upon this bond.
Should the condition of this bond be fully performed, then this obligation shall become
null and void,otherwise it shall be and remain in full force and effect.
The surety hereby stipulates and agrees that no change, extension of time, alteration, or
addition to the terms of the agreement or the specifications accompanying the same shall in any
manner affect its obligations on this bond, and it does hereby waive notice of any such change,
