1. CONFIRMATION OF AGENDA
Betsy Adams, Executive Director of the Successor Agency indicated that the City as the Successor
Agency received a letter from the Department.of Finance about the first ROPS that was approved by the
Oversight Board and the Successor Agency. They have identified three areas where they don't agree
with us. One of the three we would be in agreement with, the other two we are not. Staff is working with
the City Attorney on a response. We will have the Department of Finance letter and the response letter at
the next meeting as a regularly scheduled agenda item.

A. Resolution Approving Property Disposal Procedures
It was the consensus of the Oversight Board to make amendments to the Property Disposal Procedures
under section V. (500) Votes to Override the Disposition Procedures - that the 2/3 vote be changed to
majority vote and to. amend Exhibit A, removing APN 0275-242-10 and APN 0275-242-11 and bring it
back to the Board at their next regular meeting

B. Sale of Successor Agency Property in the 21900 Block of Barton Road to O'Reilly Automotive Stores, Inc.
to Develop a New Retail Store
Adopt a Resolution approving the Purchase and Sale Agreement between the Successor Agency and
O'Reilly Automotive Stores, Inc., and forward the Agreement to the State Department of Finance for
review and authorize the Successor Agency's Executive Director to complete all actions necessary to
complete the sale of the property-and-transfer of appurtenant shares of water stock. It was also directed
that staff designate the proceeds from the sale of this property until June 1, 2014 or sooner, if the store is
built prior to that date.
