Tom Roberts
Stated that there was a question raised by Board Member Saks at the last Oversight Board Meeting with
regard to the clause in the O'Reilly Contract that if they were unable to fulfill the contract by 2014,- the
Successor Agency would be required to buy back the property. The question was also raised that if the
Successor Agency is no longer a viable entity would the City then have to buy back the property He
questioned if the City expects the Successor Agency to be operational in 2014 and even if it is, is it in the
best interest of the City, financially, to buy back that property. It was also mentioned that O'Reilly is a
large chain and it is unlikely that they would not build the store. There is not doubt that such a chain
building in Grand Terrace would be very beneficial, however it should be pointed out that Fresh & Easy is
also a large chain and they are no longer going to build in Grand Terrace. Walmart, also a large chain,
has been known to offer to build in other cities and then not been able to fulfill their promise. He feels that
the Oversight Board is the last line of defense for the:City of Grand Terrace and that it is their purpose to
be cautious in the disposal of its assets.

A. Resolution Approving Property Disposal Procedures
Adopt Resolution approving Property Disposal Procedures for the sale of properties formerly held by the
Grand Terrace Redevelopment Agency for Reuse with the noted correction under Section (203)
Successor Agency Evaluation of Proposal. Line 3 should read "Successor Agency staff to be complete
not later than sixty (60)".

Chairman Stanckiewitz recessed the Oversight Board.Meeting at 4:14 p.m. so that the
Secretary could swear-in Board Member Jess Vizcaino. The meeting was reconvened at
4:16 p.m.
B. Update on Recognized Obligation Payment Schedule for Period of January 1, 2012 through June 30,
2012
Executive Director of the Successor Agency, Betsy Adams, gave the status of the Successor Agency's
Recognized Obligation Payment Schedule for the period of January 1, 2012 through June 30, 2012. She
indicated that there is no action required for this item, it is receive and file only.

Asked when staff feels we will receive word from the Department of Finance on the sale of the property to
O'Reilly Automotive Stores, Inc.

Indicated that there will be an update on the next Agenda of the Oversight Board.
