Subject: Change Order No. 1 to March 8, 2007 Professional Services Agreement Between
the Chambers Group and the City of Grand Terrace for the Preparation of the
Grand Terrace General Plan Update Environmental Impact Report
Dear Mr. Koontz:
Pursuant to your recent email request and information obtained during a subsequent meeting held in your
office on August 161h with Lisa Sander and I, we understand that the City desires to incorporate several
proposed modifications to the current Redevelopment Plan for the Grand Terrace Community
Redevelopment Project into the General Plan Update EIR. Originally adopted in 1979, the
Redevelopment Plan was subsequently amended in 1981, 1999 and 2004. The modifications currently
being considered would collectively comprise the Redevelopment Plan's fourth amendment. Specific
proposed modifications are:
• increasing the Plan's cumulative tax increment revenue limit from $70 million
(net of taxing agency payments) to approximately $200 million (net of taxing
agency payments);
• extending the duration of the Plan and time limit to collect tax increment
revenue by seven years (pursuant to Health and Safety Code Sections
33333.6(a), 33333.6(b), and 33333.6(e)(2)(C);
• increasing the Plan's limit on the amount of bonded debt that may be
outstanding at one time, from $15 million to approximately$65 million; and,
• replacing descriptions of land uses of the Plan (as contained in Section IV.
Uses Permitted in Project Area, pp. 33-42)with language that directly refers to
adopted General Plan, zoning and other local land use policies.
In light of the foregoing, and that Redevelopment Plan Project Area boundaries are coterminous with the
City's incorporated limits, that State Law requires all Redevelopment Plans to be consistent with the
underlying General Plan, and that the proposed modifications would result in few, if any, direct or indirect
impacts on the physical environment, Chambers Group is of the opinion that accommodating the City's
request would pose no methodological or procedural conflicts or constraints. Accordingly, Chambers
Group has developed a work program and attendant costs specifically designed to facilitate conducting
and then seamlessly integrating the environmental review for the proposed Redevelopment Plan
amendment into the upcoming General Plan Update EIR. The work program, its constituent work tasks
and attendant costs collectively represent an addition to the Scope of Services and Fee Estimate
articulated in our existing March 8, 2007 Professional Services Agreement (PSA) with the City and as
such, this submittal constitutes the formal basis for Change Order No. 1.

SCOPE OF SERVICES—CHANGE ORDER NO. 1
The work tasks required to perform and then incorporate the environmental review for the proposed
Redevelopment Plan amendment into the upcoming General Plan Update EIR are identical to those
provided in the Scope of Services attachment to the March 8, 2007 PSA. As such, we have not repeated
them here. However, they are hereby incorporated by reference in their entirety. In overview, the major
elements of the Scope of Services in both the original agreement and this Change Order (No. 1) are:
TASK 1.0-Prepare Initial Study; TASK 2.0-Prepare Technical Background Studies; TASK 3.0-Prepare
Screen Check Draft EIR; TASK 4.0-Prepare Draft EIR; TASK 5.0-Prepare Final EIR; TASK 6.0-Conduct
CEOA Related Tasks; TASK 7.0-Project Initiation/Kick-Off& ManagemenVCoordination; and, TASK 8.0-
Meeting and Hearing Attendance. The primary focus of our efforts to conduct and then integrate the
environmental review for the proposed Redevelopment Plan amendment into the General Plan Update
EIR will be to ensure that a clear distinction between what is applicable to the Redevelopment Plan
amendment versus the General Plan Update is continually maintained, regardless of context.
FEE ESTIMATE—CHANGE ORDER NO. 1
Based on our current understanding of the assignment that serves as the basis for this Change Order
(No. 1), the Total Estimated Not—To-Exceed Fee to successfully complete the above Scope of Services
(C.O. No. 1)Is$9,923.00. By Major Task, this fee breaks down as follows:

As the Scope of Services above incorporated by reference hereinto all work tasks comprising the scope
of services articulated in the original March 8, 2007 PSA, this section of Change Order No.1 hereby
incorporates by reference hereinto all remaining portions of the subject PSA, including all caveats,
conditions, assumptions, exclusions and exceptions. All terms in force with the existing PSA are
unaffected by this Change Order and remain in full force and effect.
