FIRST AMENDMENT TO
AGREEMENT FOR LEGAL SERVICES
THIS AMENDMENT (hereinafter referred to as "AMENDMENT") to the
Agreement for Legal Services (hereinafter referred to as "AGREEMENT") by and
between the CITY OF GRAND TERRACE, hereinafter referred to as the "CITY," and
LAGERLOF, SENECAL, GOSNEY & KRUSE, LLP, a law firm, hereinafter referred to
as "ATTORNEY", is entered into the 23rd day of July,2013.
RECITALS
WHEREAS,on February12, 2013 CITY retained the services of ATTORNEY
with the AGREEMENT to provide a specific scope of services as special counsel for the
CITY.
WHEREAS, ATTORNEY has completed the aforementioned scope of services
and the CITY desires ATTORNEY to continue with this project under a new scope of
services, referred to as Phase II
NOW, THEREFORE,the parties agree as follows:
1. SCOPE OF SERVICES. Section"3"of the AGREEMENT is hereby
amended to include the scope of services as set forth in the attached "Phase II - Scope of
Services"which is made Exhibit"A"to this Agreement.
2. COMPENSATION. Section "4" of the AGREEMENT is hereby
amended to provide an additional not to exceeds amount of $20,000 to cover the
additional scope of services set forth in Section "1" and Exhibit "A" of this
AMENDMENT.
3. PROVISIONS OF AGREEMENT. All other terms, conditions, and
provisions of the AGREEMENT,to the extent not modified with this AMENDMENT,
shall remain in full force and effect.
IN WITNESS WHEREOF this AMENDMENT is signed by the parties hereto
on the date first above written.

EXHIBIT "A"
PHASE 11
SCOPE OF SERVICES
1. Obtain additional information from Black and Veatch (1 hour)
a. Estimate of"best case" amount owing to Colton (3%increases for 2005 and
2006)
b. Estimate of cost of service for Grand Terrace's system
c. Determine status of Colton's RFP for a rate study
2. Prepare for and attend meeting with negotiating team to determine goals and approach(8
hours)
3. Prepare for and attend negotiating meetings with Colton (40 hours)
4. Prepare opinion letter to send to Colton (1 hour)
5. Legal analysis of Colton's response and options proposed (6 hours)
6. Attend Grand Terrace council meetings(8 hours)
We would propose to provide these services on the same hourly basis, with a not-to-exceed cost
of$20,000. This is based upon staffing with 2 attorneys, so the actual cost will hopefully be
lower.
