PUBLIC COMMENT Debra Hurst, questioned if there is anything that the City can do about the Rave that took place at the Orange Show. She indicated that she contacted the San Bernardino Police Department on Friday and Saturday night and e-mailed the promoter regarding the event. She questioned if the City has received any reimbursement from FEMA or any other Agency we applied for re-imbursement ' from for the clean-up that took place as a result of the storm last December. She questioned what is going to be done to prevent this from happening in the future and who will be responsible for paying for it. She suggested that the City look into solar panels to save on electricity. Julie Beebe, reported on two new programs that the Grand Terrace Community Soccer Club has started. They now offer adult soccer and the TOPS soccer Program. She expressed her concern with the condition of the fields and the use of the fields by out of town leagues and clubs. They are looking into the possibility of taking over the maintenance and up-keep of the fields but before they do that they would like clarification on who is allowed to use the fields. Mike Dominguez, indicated that he is a board member of the Grand Terrace Youth Football League. He stated that the majority of the participants live within the City of Grand Terrace and/or go to school in the Colton Joint Unified School District. He gave a brief overview of the program and the commitment that it takes from the 20 Council Minutes 09/13/2011 Page 4 players and the parents. He feels that they could be a feeder program into the new high school. He requested assistance from the City with the Colton Joint Unified School District with regards to the field use and allowing them to continue their season. James Tippenv, reported that he is a long time resident of the City. He indicated that his son participates in the Grand Terrace Youth Football League. He is requesting assistance from the City Council with the field use issue that they are having with the School District. He feels that it is a good program and the children of the community should have an opportunity to participate in a football program. Robert Bond, indicated that his sons participate in the Grand Terrace Youth Football League. He feels that the program will be a gateway to the new high school football program. He stated that all of the coaches, athletic directors and Board Members have all gone through safety classes. The player's safety is first priority for the league. He stated that his son was one of the players that was injured at practice and when he received the phone call there was still day light outside. He feels that the issue at hand is a personality conflict. Tracy Preston, Grand Terrace Youth Football League Board Member, requested that someone provide answers to the league. They have been told that they can not have lights or field use. They are extremely frustrated and feels that they should have the opportunity to respond to the complaints that have been voiced. They have approximately 200 kids that participate in the program and would like them to be able to continue in the program. City Manager Betsy M. Adams, indicated that the Grand Terrace Youth Football League uses Terrace View Elementary School and are able to do so through an agreement with the City. The City has the ability to allow a sports group to use that facility through a joint use agreement with Colton Joint Unified School District. Staff has not done anything with regard to that field and the league. Staff has not made a decision on the lighting at that location because they are waiting for feed-back from the district. She stated that there is a separate use agreement between the district and the league for field use at Terrace Hills Middle School. It is staffs understanding that the District has suspended use at location while they investigate some alleged injury incidents. Councilmember Sandoval, indicated that he received information that the League will be able to practice at the Middle School without lights. He stated that the field use became an issue when an incident occurred during practice after dusk,which is why their permit was revoked. He questioned what needs to be done to investigate this issue. He realizes that the resources are limited within the City and feels that 21 Council Minutes 09/13/2011 Page 5 the Council needs to do whatever they can to support all of the leagues. City Manager Adams, stated that the field use issue is the School District's decision • and feels that the City should stay out of it and encouraged the league to contact the facilities staff of the District. She indicated that she understands that the Colton • Joint Unified School District Board is planning on bringing the use of school site (' fields by sports groups for direction. They are looking at forming a committee and the City of Grand Terrace would welcome an opportunity to participate in those discussions. Councilmember Sandoval, would like to hear more information on all of the programs that are provided by the youth sports organizations within town. It was the request of the Council that staff provide e-mail updates to the Council on the situation with the Grand Terrace Youth Football League and also directed staff to invite the individual sports organizations within the City to come to a Council • Meeting to give a 10 to 15 minute presentation on their organization. Mayor Pro Tern Garcia, questioned if staff had any information on the Rave that was held over the past weekend at the Orange Show. _ City Manager Adams, responded that staff has received multiple calls regarding the Rave that was held over the weekend. Residents were definitely impacted by the event. The concern is that there is another event scheduled for the end of October and the noise needs to be mitigated. Residents that were affected from the event are being asked to call City Hall and report where they live and whether they heard noise or felt vibration or both. Staff is dealing with the entity that runs the fair • grounds, the City of San Bernardino and State Representatives. Councilmember Sandoval, indicated that when he called San Bernardino Police Department he was told that they do not have jurisdiction over the event and that other residents that called were told the same thing. City Manager Adams, concurred that the City was told the same thing. She stated that the City of San Bernardino does not permit the event, it goes through the State. Councilmember Sandoval, stated that Friday was a lot louder than Saturday. He indicated that San Bernardino Councilmember Tobin Brinker worked behind the scenes to help lessen the sound. City Manager Adams, stated that staff is looking at what options the City has and will document which residents were affected by the event and will work with other • 22 to practice at the Middle School without lights. Councilmember Sandoval, stated that San Bernardino Police Department made a • list of complaints and would like staff to look into getting a copy of that list. City Manager Adams, responded to Debra Hurst's question regarding reimbursements from F.E.M.A; indicating that the City has received $7,000.00 from F.E.M.A. She stated that they rejected all other claims and forwarded them to the State. Their process is much longer and it could be more than a year before we hear anything from them. COUNCIL REPORTS Councilmember Gene Hays,feels that smaller municipalities should cut out red tape and let small businesses move forward. Small businesses should be encouraged to get started not held back. Councilmember Darcy McNaboe, attended a meeting on September 21, 2011 with City Staff and the PTA Presidents regarding the crossing guard issue. She commended staff on the packet that was provided to the individuals. The schools have changed the way students are picked up and dropped off, which should help with the crossing guard issue. She also noticed that there is a new parking area at Terrace View on the Brentwood side of the campus. She is hoping that this has something to do with the traffic issue. She referred to a notice that was done by the Department of Toxic Substances. There is a site that is located at 21750 Main Street that was a plating company called K&J Plating. There are concerns with that particular site because of the materials that were used at this location and what process would have to take place to clean up this site. The Department of Toxic Substances is holding a public comment period for a draft removal action work plan and a notice of exemption. This clean-up plan will address all contaminated soil at • the former K&J Plating facility. The draft plan is available at the Grand Terrace Branch Library and on-line. The comment period goes through October 18. She questioned if adopted Ordinances are indicated on-line prior to being codified. Tracey Martinez, Interim City Clerk, responded that on the City Clerk's portion of the website Ordinances that have been adopted but have not yet been codified are listed. The Municipal Code Website will also indicate that the listed ordinances have been approved and have not yet been codified. City Manacer Adams, indicated that it was Jo Verhelle that put all of the information together. Councilmember Sandoval, thanked Jo Verhelle for all of her efforts. He stated that the Fire Department does an excellent job and thanked them for the great service that they provide to the Community. Mayor Pro Tem Lee Ann Garcia, reported that she attended the Grand Terrace Area Chamber of Commerce luncheon where Supervisor Neil Derry spoke. She indicated that there may be some relief for the law enforcement portion of the budget for the upcoming fiscal year. She encouraged the communityto come to the Chamber luncheons. There are a lot of home based businesses that attend the event and it is a great place to network. She stated that there are a lot of good resources available in town. Training and Practice makes a CERT unit work as a team. CERT—purpose to handle disasters—Community Preparedness to include and involve neighbors. The City Activation with city employees, EOC and CERT has been put on hold. Reminder to CERT members to complete the ICS 100 and ICS 700 and get the certificates to Joe Ramos. Joint training with Colton and Loma Linda has been put on hold. Grand Terrace Community Day will be on Saturday,June 25, 2011. We will have the CERT trailer there and volunteers are needed to assist. Training together builds a relationship,trust and skills among the members. Also Joe reminded us to complete the ICS 100 and 700 training. Approve the attached Professional Services Consultant Agreement between the City and Albert A. Webb Associates, Inc. to complete the park design and manage construction of the new community park funded through the State Department of Parks and Recreation, in the amount of$177,093. 2. Authorize the City Manager to sign the Agreement and complete all other actions necessary to fulfill the grant requirements. 3. Authorize the Finance Director to allocate State funding advances to a project account for the services described in the Agreement. BACKGROUND: In February 2010, the City applied for a $1.8 million grant to develop an active park through the Statewide Park Development and Community Revitalization Program, which was funded by Proposition 84. In October 2010, our community was selected to participate in the program from a field of over 600 applicants. Site Acquisition The park site is located on the east side of Grand Terrace Road, between Barton Road and Vivienda Avenue as shown on the attached map (Attachment 1). On August 23, 2011, the Council approved the acquisition of the future park site and requested a $597,690 funding advance from the State to close escrow. The advance was approved and the escrow is expected to close by the end of October. The seller has agreed to donate $15,000 to the City for future maintenance of this park at close of escrow. A contract was not awarded because the City was not prepared to move forward at the time. On July 18, 2011, an Amended RFP was issued that included additional tasks to assist staff with meeting requirements of the State Grant. Seven responses were received, and a staff team rated the responses and identified four experienced firms for interviews that offered the required services at a reasonable cost. The proposed costs ranged from $166,145 to $310,565 for the services described in the Request for Proposals. The company proposing to complete the design and construction management for $166,145 did not include all required items for that.cost. DISCUSSION On August 15, 2011, a panel comprised of staff and community members interviewed the four qualified teams. The community members included two individuals living near the park site that have been active in the process, one a tenant and the second a property owner. The staff members included the Public Works Director, Senior Planner, and Community Development Director. Staff members agreed that all of the firms interviewed were qualified to complete the project and asked the community members to select the team they believed was the best qualified to work with residents. At the conclusion of the interviews, they differed on their top choice. One individual rated Webb Associates of Riverside first, and the other rated Fraco Enterprises of Grand Terrace first. Subsequently, a third community member joined the panel who is a 15-year resident of the Grand Terrace Mobilehome Park, who was recommended by the Park management due to her continuing outreach and support of the area children. Second interviews of Fraco Enterprises and Webb Associates were conducted on September 15, 2011. Staff did not rate the firms during the second interviews. The community panel determined to recommend Webb Associates to the City Council for the park project, and staff has invited the panel members to address the Council on October 11, 2011. In addition, letters were sent to other residents in the area notifying them of the Council meeting. Staff has prepared the attached Professional Services Agreement between the City and Webb Associates for Council review, which includes a full Scope of Work, fees, and schedule through park opening. Staff also requested that Webb include a three-year maintenance program at no additional cost to the City. The contract costs include the following: Preliminary Design $46,682.00 Final Design and Construction Documents $62,384.00 Bidding, Management and Inspection $68,027.00 $177,093.00 A more detailed description of the tasks involved and scheduling is included in.Exhibit "A" to Attachment No. 2, the Professional Consultant Services Agreement. Webb's landscape architect will briefly present his project approach to the Council during their meeting on October 11, 2011. 38 After the Agreement has been approved, a community meeting will be held to discuss the project approach and elements to include in the preliminary design, such as: • water efficient landscaping; • exercise and playground equipment, and walking paths; • restroom and park fencing; • tennis court and suggested other uses; • covered picnic areas; and, • possible themes to encourage park use. A second meeting with the community and Council will be held in January 2012 to review the preliminary design based on the comments received. The final design and construction drawing phase of the project is expected to be complete by July 2012, at which time the project would be advertised for public bidding. The Consultant will also act as the project manager for public bidding and construction. Park construction would occur in the last quarter of 2012. FISCAL IMPACT: Upon approval of the Agreement, staff will forward the executed copy to our State project manager and request a second funding advance for the first six months of the contract work in accordance with the State's recommendation. The total grant funds which would be expended under the proposed Agreement and the acquisition costs total $774,783.00, leaving approximately $1 million for park construction and amenities. Project Design and Construction Management Services THIS PROFESSIONAL CONSULTANT SERVICES AGREEMENT ("Agreement") is made and entered into this 11th day of October, 2011, ("Effective Date") by and between the CITY OF GRAND TERRACE ("City"), a public entity, and Albert A. Webb Associates, Inc., ("Consultant"). 1. Scope of Services. City agrees to retain and does hereby retain Consultant and Consultant agrees to provide the services more particularly described in Exhibit "A", "Scope of Services, Project Schedule, and Fees", attached hereto and incorporated herein by reference, in conjunction with the Design and Construction Management of a new community park in the 21900 block of Grand Terrace Road, Assessor's Parcel Numbers 0275-231-48 through 66, funded through the State Department of Parks and Recreation ("Project"). 2. Term. This Agreement shall be effective on the date first written above and the Agreement shall remain in effect until December 31, 2013, unless otherwise terminated pursuant to the provisions herein. 3. Compensation/Payment. Consultant shall perform the Services under this Agreement for the total sum not to exceed One Hundred Seventy-Seven Thousand Ninety-Three Dollars ($177,093.00) payable in accordance with the terms set forth in Exhibit "A". Said payment shall be made in accordance with City's usual accounting procedures upon receipt and approval of an itemized invoice setting forth the services performed. The invoices shall be delivered to City at the address set forth in Section 4 hereof. 4. Notices. Any notices required to be given hereunder shall be in writing and shall be personally served or given by mail. The Director's determination is on file and open to inspection in the office of the City Clerk and is referred to and made a part hereof; the wage rates therein ascertained, determined, and specified are referred to and made a part hereof as though fully set forth herein. 6. Contract Administration. A designee of the City will be appointed to administer this Agreement on behalf of the City and shall be referred to herein as Contract Administrator. 7. Standard of Performance. While performing the Services, Consultant shall exercise the reasonable professional care and skill customarily exercised by reputable members of Consultant's profession practicing in the Metropolitan Southern California Area, and shall use reasonable diligence and best judgment while exercising its professional skill and expertise. 8. Personnel. Consultant shall furnish all personnel necessary to perform the Services and shall be responsible for their performance and compensation. Consultant recognizes that the qualifications and experience of the personnel to be used are vital to professional and timely completion of the Services. The key personnel listed in Exhibit "B" attached hereto and incorporated herein by this reference and assigned to perform portions of the Services shall remain assigned through completion of the Services, unless otherwise mutually agreed by the parties in writing, or caused by hardship or resignation in which case substitutes shall be subject to City approval. The Consultant certifies that all personnel working under this Agreement are legal to work in.the United States and State of California. 9. Assignment and Subcontracting. Neither party shall transfer any right, interest, or obligation in or under this Agreement to any other entity without prior written consent of the other party. In any event, no assignment shall be made unless the assignee expressly assumes the obligations of assignor under this Agreement, in a writing satisfactory to the parties. Consultant shall not subcontract any portion of the work required by this Agreement without prior written approval by the responsible City's Contract Administrator. Subcontracts, if any, shall contain a provision making them subject to all provisions stipulated in this Agreement, including without limitation, the insurance obligations set forth in Section 12. Consultant acknowledges that any transfer of rights may require City Council approval. 10. Independent Contractor. In the performance of this Agreement, Consultant, and Consultant's employees, subcontractors and agents, shall act in an independent capacity as independent contractors, and not as officers or employees of the City of Grand Terrace. Consultant acknowledges and agrees that City has no obligation to pay or withhold state or federal taxes or to provide workers' compensation Page 2 of 18 44 or unemployment insurance to Consultant, or to Consultant's employees, subcontractors and agents. Consultant, as an independent contractor, shall be responsible for any and all taxes that apply to Consultant as an employer. 11. Indemnification. 11.1 Indemnity. Except as to the sole negligence or willful misconduct of the City, Consultant shall defend, indemnify and hold the City, and its officers, employees and agents, harmless from any and all loss, damage, claim for damage, liability, expense or cost, including attorneys' fees, which arises out of or is in any way connected with the performance of work under this Agreement by Consultant or any of the Consultant's employees, agents or subcontractors and from all claims by Consultant's employees, subcontractors and agents for compensation for services rendered to Consultant in the performance of this Agreement, notwithstanding that the City may have benefitted from their services. This indemnification provision shall apply to any acts or omissions, willful misconduct or negligent conduct, whether active or passive, on the part of Consultant or of Consultant's employees, subcontractors or agents. 11.2 Attorney's Fees. The parties expressly agree that any payment, attorneys' fees, costs or expense that the City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense or cost for the purposes of this Section, and that this Section shall survive the expiration or early termination of the Agreement. 12. Insurance. 12.1 General Provisions. Prior to the City's execution of this Agreement, Consultant shall provide satisfactory evidence of, and shall thereafter maintain during the term of this Agreement, such insurance policies and coverages in the types, limits, forms and ratings required herein. The rating and required insurance policies and coverages may be modified in writing by the City's Risk Manager or City Attorney, or a designee, unless such modification is prohibited by law. 12.1.1 Limitations. These minimum amounts of coverage shall not constitute any limitation or cap on Consultant's indemnification obligations under Section 11 hereof. 12.1.2 Ratings. Any insurance policy or coverage provided by Consultant or subcontractors as required by this Agreement shall be deemed inadequate and a material breach of this Agreement, unless such policy or coverage is issued by insurance companies authorized to transact insurance business in the State of California with a policy holder's rating of B+ or higher and a Financial Class of VII or higher. Page 3of19 45 shall act in an independent capacity as independent contractors, and not as officers or employees of the City of Grand Terrace. Consultant acknowledges and agrees that City has no obligation to pay or withhold state or federal taxes or to provide workers' compensation Page 2 of 18 44 12.1.3 Cancellation. The policies shall not be canceled unless thirty (30) days prior written notification of intended cancellation has been given to City by certified or registered mail, postage prepaid. 12.1.4 Adequacy. The City, its officers, employees and agents make no representation that the types or limits of insurance specified to be carried by Consultant pursuant to this Agreement are adequate to protect Consultant. If Consultant believes that any required insurance coverage is inadequate, Consultant will obtain such additional insurance coverage as Consultant deems adequate, at Consultant's sole expense. 12.2 Workers' Compensation Insurance: By executing this Agreement, Consultant certifies that Consultant is aware of and will comply with Section 3700 of the Labor Code of the State of California requiring every employer to be insured against liability for workers' compensation, or to undertake self-insurance before commencing any of the work. Consultant shall carry the insurance or provide for self-insurance required by California law to protect said Consultant from claims under the Workers' Compensation Act. Prior to City's execution of this Agreement, Consultant shall file with City either (1) a certificate of insurance showing that such insurance is in effect, or that Consultant is self-insured for such coverage, or (2) a certified statement that Consultant has no employees, and acknowledging that if Consultant does employ any person, the necessary certificate of insurance will immediately be filed with City. Any certificate filed with City shall provide that City will be given ten (10) days prior written notice before modification or cancellation thereof. 12.3 Commercial General Liability and Automobile Insurance. Prior to City's execution of this Agreement, Consultant shall obtain, and shall thereafter maintain during the term of this Agreement, commercial general liability insurance and automobile liability insurance as required to insure Consultant against damages for personal injury, including accidental death, as well as from claims for property damage, which may arise from or which may concern operations by anyone directly or indirectly employed by, connected with, or acting for or on behalf of Consultant. The City, and its officers, employees and agents, shall be named as additional insureds under the Consultant's insurance policies. 12.3.1 Consultant's commercial general liability insurance policy shall cover both bodily injury (including death) and property damage (including, but not limited to, premises operations liability, products-completed operations liability, independent Consultant's liability, personal injury liability, and contractual liability) in an amount not less than $1,000,000 per occurrence and a general aggregate limit in the amount of not less than $2,000,000. Page 4 of 18 46 nowledges and agrees that City has no obligation to pay or withhold state or federal taxes or to provide workers' compensation Page 2 of 18 44 12.3.2 Consultant's automobile liability policy shall cover both bodily injury and property damage in an amount not less than $500,000 per occurrence and an aggregate limit of not less than $1,000,000. All of Consultant's automobile and/or commercial general liability insurance policies shall cover all vehicles used in connection with Consultant's performance of this Agreement, which vehicles shall include, but are not limited to, Consultant owned vehicles, Consultant leased vehicles, Consultant's employee vehicles, non-Consultant owned vehicles and hired vehicles. 12.3.3 Prior to City's execution of this Agreement, copies of insurance policies or original certificates and additional insured endorsements evidencing the coverage required by this Agreement, for both commercial general and automobile liability insurance, shall be filed with the City and shall include the City and its officers, employees and agents, as additional insureds. Said policies shall be in the usual form of commercial general and automobile liability insurance policies, but shall include the following provisions: It is agreed that the City of Grand Terrace and its officers, employees and agents, are added as additional insureds under this policy, solely for work done by and on behalf of the named insured for the City of Grand Terrace. 12.4 Errors and Omissions Insurance. Prior to City's execution of this Agreement, Consultant shall obtain, and shall thereafter maintain during the term of this Agreement, errors and omissions professional liability insurance in the minimum amount of$1,000,000 to protect the City from claims resulting from the Consultant's activities. 12.5 Subcontractors' Insurance. Consultant shall require all of its subcontractors to carry insurance, in an amount sufficient to cover the risk of injury, damage or loss, that may be caused by the subcontractors' scope of work and activities provided in furtherance of this Agreement, including, but without limitation, the following coverages: Workers Compensation, Commercial General Liability, Errors and Omissions, and Automobile liability. Upon City's request, Consultant shall provide the City with satisfactory evidence that Subcontractors have obtained insurance policies and coverages required by this section. 13. Business Tax. Consultant understands that the Services performed under this Agreement constitutes doing business in the City of Grand Terrace, and Consultant agrees that Consultant will register for and pay a business tax pursuant to Chapter 5.04 of the Grand Terrace Municipal Code and keep such tax certificate current during the term of this Agreement. 14. Time of Essence. Time is of the essence for each and every provision of this Agreement. Page 5 of 18 47 general aggregate limit in the amount of not less than $2,000,000. City's Right to Employ Other Consultants. City reserves the right to employ other Consultants in connection with the Project. 16. Accounting Records. Consultant shall maintain complete and accurate records with respect to costs incurred under this Agreement. All such records shall be clearly identifiable. Consultant shall allow a representative of City during normal business hours to examine, audit, and make transcripts or copies of such records and any other documents created pursuant to this Agreement. Consultant shall allow inspection of all work, data, documents, proceedings, and activities related to the Agreement for a period of three (3) years from the date of final payment under this Agreement. 17. Confidentiality. All ideas, memoranda, specifications, plans, procedures, drawings, descriptions, computer program data, input record data, written information, and other materials either created by or provided to Consultant in connection with the performance of this Agreement shall be held confidential by Consultant, except as otherwise directed by City's Contract Administrator. Nothing furnished to Consultant which is otherwise known to the Consultant or is generally known, or has become known, to the related industry shall be deemed confidential. Consultant shall not use City's name or insignia, photographs of the Project, or any publicity pertaining to the Services or the Project in any magazine, trade paPer, newspaper, television or radio production, website, or other similar medium without the prior written consent of the City. 18. Ownership of Documents. All reports, maps, drawings and other contract deliverables prepared under this Agreement by Consultant shall be and remain the property of City upon City's compensation to Consultant for its services as herein provided. Consultant shall not,release to others information furnished by City without prior express written approval of City. 19. Conflict of Interest. Consultant, for itself and on behalf of the individuals listed in Exhibit "B", represents and warrants that by the execution of this Agreement, they have no interest, present or contemplated, in the Project affected by the above- described Services. Consultant further warrants that neither Consultant, nor the individuals listed in Exhibit "B" have any real property, business interests or income interests that will be affected by this project or, alternatively, that Consultant will file with the City an affidavit disclosing any such interest. 20. Solicitation. Consultant warrants that Consultant has not employed or retained any person or City to solicit or secure this Agreement, nor has it entered into any agreement or understanding for a commission, percentage, brokerage, or contingent fee to be paid to secure this Agreement. For breach of this warranty, City shall have the right to terminate this Agreement without liability and pay Consultant only for the value of work Consultant has actually performed, or, in its sole discretion, to deduct from the Agreement price or otherwise recover from Consultant the full amount Page 6 of 18 48 of such commission, percentage, brokerage or commission fee. The remedies specified in this section shall be in addition to and not in lieu of those remedies otherwise specified in this Agreement. 21. General Compliance with Laws. Consultant shall keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Consultant, or in any way affect the performance of services by Consultant pursuant to this Agreement. Consultant shall at all times observe and comply with all such laws, ordinances and regulations, and shall be solely responsible for any failure to comply with all applicable laws, ordinances and regulations. 22. Amendments. This Agreement may be modified or amended only by a written Agreement and/or change order executed by the Consultant and City. 23. Termination. City, by notifying Consultant in writing, shall have the right to terminate any or all of Consultant's services and work covered by this Agreement at any time. In the event of such termination, Consultant may submit Consultant's final written statement of the amount of Consultant's services as of the date of such termination based upon the ratio that the work completed bears to the total work required to make the report complete, subject to the City's rights under Sections 15 and 24 hereof. In ascertaining the work actually rendered through the termination date, City shall consider completed work, work in progress and complete and incomplete reports and other documents only after delivered to City. 23.1 Other than as stated below, City shall give Consultant thirty (30) days prior written notice prior to termination. 23.2 City may terminate this Agreement upon fifteen (15) days written notice to Consultant, in the event: 23.2.1 Consultant substantially fails to perform or materially breaches the Agreement; or 23.2.2 City decides to abandon or postpone the Project. 24. Offsets. Consultant acknowledges and agrees that with respect to any business tax or penalties thereon, utility charges, invoiced fee or other debt which Consultant owes or may owe to the City, City reserves the right to withhold and offset said amounts from payments or refunds or reimbursements owed by City to Consultant. Notice of such withholding and offset shall promptly be given to Consultant by City in writing. In the event of a dispute as to the amount owed or whether such amount is owed to the City, City will hold such disputed amount until either the appropriate appeal process has been completed or until the dispute has been resolved. Page 7 of 18 49 retained any person or City to solicit or secure this Agreement, nor has it entered into any agreement or understanding for a commission, percentage, brokerage, or contingent fee to be paid to secure this Agreement. For breach of this warranty, City shall have the right to terminate this Agreement without liability and pay Consultant only for the value of work Consultant has actually performed, or, in its sole discretion, to deduct from the Agreement price or otherwise recover from Consultant the full amount Page 6 of 18 48 25. Successors and Assigns. This Agreement shall be binding upon City and its successors and assigns, and upon Consultant and its permitted successors and assigns, and shall not be assigned by Consultant, either in whole or in part, except as otherwise provided in paragraph 9 of this Agreement. 26. Venue and Attorneys' Fees. Any action at law or in equity brought by either of the parties hereto for the purpose of enforcing a right or rights provided for by this Agreement shall be tried in a court of competent jurisdiction in the County of San Bernardino, State of California, and the parties hereby waive all provisions of law providing for a change of venue in such proceedings to any other county. In the event either party hereto shall bring suit to enforce any term of this Agreement or to recover any damages for and on account of the breach of any term or condition of this Agreement, it is mutually agreed that the prevailing party in such action shall recover all costs thereof, including reasonable attorneys' fees, to be set by the court in such action. 27. Nondiscrimination. During Consultant's performance of this Agreement, Consultant shall not discriminate on the grounds of race, religious creed, color, national origin, ancestry, age, physical disability, mental disability, medical condition, including the medical condition of Acquired Immune Deficiency Syndrome (AIDS) or any condition related thereto, marital status, sex, or sexual orientation, in the selection and retention of employees and subcontractors and the procurement of materials and equipment, except as provided in Section 12940 of the California Government Code. Further, Consultant agrees to conform to the requirements of the Americans with Disabilities Act in the performance of this Agreement. 28. Severability. Each provision, term, condition, covenant and/or restriction, in whole and in part, of this Agreement shall be considered severable. In the event any provision, term, condition, covenant and/or restriction, in whole and/or in part, of this Agreement is declared invalid, unconstitutional, or void for any reason, such provision or part thereof shall be severed from this Agreement and shall not affect any other provision, term, condition, covenant and/or restriction of this Agreement, and the remainder of the Agreement shall continue in full force and effect. 29. Authority: The individuals executing this Agreement and the instruments referenced herein on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions hereof and thereof. 30. Entire Agreement: This Agreement constitutes the final, complete, and exclusive statement of the terms of the agreement between the parties pertaining to the subject matter of this Agreement, and supersedes all prior and contemporaneous understandings or agreements of the parties. Neither party has been induced to enter into this Agreement by, and neither party is relying on, any representation or warranty outside those expressly set forth in this Agreement. City and Consultant acknowledge and agree that this Agreement is the product of mutual arms-length negotiations and accordingly, the rule of construction, which provides that the ambiguities in a document shall be construed against the drafter of that document, shall have no application to the interpretation and enforcement of this Agreement. 31.1 Titles and captions are for convenience of reference only and do not define, describe or limit the scope or the intent of the Agreement or any of its terms. Reference to section numbers are to sections in the Agreement unless expressly stated (� otherwise. 31.2 This Agreement shall be governed by and construed in accordance with the laws of the State of California in effect at the time of the execution of this Agreement. 31.3 In the event of a conflict between the body of this Agreement and Exhibit "A" hereto, the terms contained in Exhibit "A" shall be controlling. 32. Exhibits. Page 8 of 18 50 48 EXHIBIT"A" SCOPE OF SERVICES Preliminary Meetings and Information Gathering TASK 1 - Meet with the City of Grand Terrace to review the scope of the work, park development budget, proposed project schedule, and discuss the park design strategy. After the meeting we will visit the site to identify opportunities and constraints, photo document the site, and prepare a preliminary evaluation of the existing conditions. TASK 2 - Plan and organize a public workshop to review the requirements of the grant and discuss the proposed elements of the park. Obtain and document information from the City staff and residents attending the meeting and review opportunities and constraints of the site. Information gathered at the community workshop will be used to develop a preliminary plan for the park. Lot Mergers and Survey TASK 3 - Apply for and complete a series of lot mergers to consolidate the proposed parcels that will make up the park area. TASK 4- A Topographic Survey of the site with contour lines shown at 1 foot intervals and spot elevations at critical points needs to be prepared as soon as possible during the design process. This information is critical for the preparation of site grading, drainage, and ADA accessibility. TASK 5 - A Boundary Survey of the site locating all of the corners of the lots and the property lines needs to be prepared prior to preparing the construction documents. This information is critical for identifying the boundaries of the park and locating all fencing. TASK 6 - Geotechnical samples of the site soil need to be taken and a report with recommendation needs to be prepared prior to preparing the construction documents. This information is critical for preparing the design for the foundation of the restroom and the tennis court, as well as any previous surfaces and parking areas. TASK 7 - Double-ring infiltrometer testing will be performed at two selected locations in order to provide infiltration rates for bio-swale design. Preliminary Park TASK 8 - From the information gathered at the community workshop and from the City staff, WEBB will prepare a preliminary landscape plan. The plan will identify and locate all of the State Grant required elements, as well as trees, pathways, and planting areas. The preliminary park plan will illustrate suggested preliminary "themes" for the park and be prepared at a level of 52 this Agreement and the instruments referenced herein on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions hereof and thereof. 30. Entire Agreement: This Agreement constitutes the final, complete, and exclusive statement of the terms of the agreement between the parties pertaining to the subject matter of this Agreement, and supersedes all prior and contemporaneous understandings or agreements of the parties. The Preliminary Park Plan will include the following elements: • Water efficient landscaping • Pervious surfaces and paving • Exercise and playground equipment • A full size tennis court with 8 foot fencing • Fencing around the park with two gates • Use of at least 10% recycled materials • Xeriscape garden with walking paths and covered picnic tables (" \ • Native and drought tolerant shade trees • A storm water quality feature • Restroom • Parking area • WEBB will participate in up to 2 community meetings TASK 9 - Provide a preliminary estimate of probable costs based on the information on the Preliminary Park Plan. TASK 10 - Present.the Preliminary Park Plan to the Grand Terrace City Council and invite the public workshop attendees and general public to review and approve Preliminary Park Plan and estimates of probable construction costs. Modifications can be made to the Preliminary Park Plan based on comments received. Final Design and Construction Documents TASK 11 - Prepare the base plan for the park with the final locations of all of the park elements based on the approved preliminary landscape plan, the site survey and the boundary survey. All construction plans will be created using the base plan information. TASK 12 - Prepare the Precise Grading and Drainage Plan for the park with the focus of retaining water on site as much as possible. Runoff water will be directed to the storm water quality feature. TASK 13 - Prepare the Irrigation Plan and irrigation details for construction. Plan will be based on the City of Grand Terrace's and the County's water conservation ordinance. The irrigation plan will be designed to be durable, require little maintenance, and apply water accurately to conserve water. Included on the irrigation plans will be the type, size, and locations of irrigation equipment, including heads, valves, quick couplers, controllers, pipe, and points of connections. The irrigation equipment will be listed by name, manufacturer, model number, and description. Pressure loss calculations, and calculations for the proposed yearly water use will be listed on the plans. The calculations will also be provided for the Maximum Applied Water Allowance (MAWA) and the Estimated Annual Water Use (EAWU). 53 f 52 this Agreement and the instruments referenced herein on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions hereof and thereof. 30. Page 8 of 18 50 48 TASK 14 - Prepare the Planting Plans and planting details for construction. The plan will be based on the information provided on the approved preliminary park plan and will include inorganic materials such as boulders, rock cobble, and decomposed granite, as well as the locations of trees, shrubs, turf, and groundcovers. Plants will be selected for low water use, durability, and low maintenance. Plant material will be listed by botanical and common names, size, water requirements, and quantity. TASK 15 - Prepare the play area and exercise equipment plan, which will include unique and creative design for the play areas and the safety surfacing. This area will be designed in a way that will make the park a play destination for children from all over the City of Grand Terrace. ' The park will create a fun and exciting experience for the children, as well as exercise stations and a walking path for the adults. All designed for a safe and healthy experience for the whole family. Comfortable, shaded seating areas will be located near the play area for relaxing, socializing, or reading. TASK 16 - Coordinate the design and placement of a restroom for the park. We will evaluate pros and cons with the City of using a pre-fabricated restroom. The restroom will be created with finishes that will accent the overall Park design theme. The restroom placement in the park will be selected for visibility from the street, and ease of maintenance. The restroom will be designed to be vandal resistant and require minimal maintenance. TASK 17 - Prepare the Hardscape Construction Plan, which will locate and identify all of the paving, walks, walls, fences, benches, and other structures not included in other plans. This plan will locate and dimension all of the site elements and identify them by type, color, finishes, size, manufacturer, and model number. Details will be prepared for items on the construction plan to insure proper installation for longevity and durability. TASK 18—WEBB will investigate the use of solar power. Park Electrical Plans will be prepared by Design West Engineering. Power will be provide to the irrigation controller, restroom, motion sensor lighting, and automatic locking gates with an override button. The park and restroom will be designed for minimal energy use by using natural light in the restroom and photo cells on the motion sensor lighting. TASK 19 - Site Utilities Plan for Sewer and Water will be designed including connections to existing facilities. TASK 20 - The park will require ADA compliant pedestrian walkway from the street to the park and from the parking area to the park. Currently,there is no sidewalk along Grand Terrace Road along park frontage. There is drainage inlet located along the Grand Terrace Road close to the southern boundary of the park. We will review parking needs and any possible public improvements with the City. Page 8 of 18 50 48 TASK 21 - Erosion Control and Water Quality. A Notice of Intent (NOT) for the proposed construction will be prepared and processed as required with the State, along with a Storm Water Pollution Prevention Plan (SWPPP) pursuant to County of San Bernardino Regional Water Board requirements. A Water Quality Management Plan (WQMP) pursuant to San Bernardino County standards is included in this scope. TASK 22 - Contract Document Final Submittal—The Contract documents will be submitted to the City of Grand Terrace for review and approval. City directed comments will be addressed prior to bidding the project. TASK 23 - Provide Project Specification in a word document format with a bid schedule and payment items for landscape related work. Provide ten (10) set of bid documents (plans and specifications)to the City for bidding purposes. TASK 24-Provide a Final Estimate of Probable Construction Costs based on the final park construction documents. TASK 25 - Provide any requested documentation to the State of California Department of Parks and Recreation, Office of Grant and Local Services, including 30 day status report. TASK 27-Maintain complete financial records for the design phase for auditing by State and assist staff in preparing request for payment. Bidding Support TASK 28- Provide bid support services for the Grand Terrace park project which, will include the following: • Attend the Pre — Bid Conference • Answer RFI's (Requests for information) during the bid period • Review and analyze the bids • Prepare bid breakdown summary • Check references • Provide letter summarizing bid results and recommendation for award Construction Management and Inspection/Grant Administration TASK 29- Provide construction management services for the Grand Terrace park project will include the following: • Attend pre-construction conference. 55 plan to insure proper installation for longevity and durability. Conduct employee interviews. • Monitor construction progress and quality with decisions relative to contract performance. DISCUSSION: Staff has suggested an unimproved area within Pico Park directly adjacent to the new high school property, where public parking and restroom facilities are available and improvements for disabled access have been completed. Photographs of the area are attached (Attachment No. 1), which depict a strip of unimproved land approximately 140 feet long and 16 feet wide, or about 2,200 square feet. The current condition is a result of the removal of other improvements and installation of the high school's perimeter fencing. Irrigation is still at the site and can be reconnected if desired. A design of the Memorial has not yet been completed, pending approval from the Council to use this area of the City park for the project. If the Council agrees in concept, staff recommends preparation of a Right of Entry and Maintenance Agreement. Through a Right of Entry Agreement, the project sponsor would agree to exempt the City from liability for their work associated with construction and maintenance of the improvements. DISCUSSION: The second meeting date for the month of November falls during the week of / l Thanksgiving and the second meeting date for the month of December falls during the week between the Christmas Holiday and New Years. During the Holiday Season staff feels that business can be accommodated in one meeting per month. Should an issue arise that needs to be addressed by the City Council the Mayor may call a special meeting. AGREEMENT TO TRANSFER AGENCY PROPERTY TAX INCREMENT TO THE CITY TO PARTICIPATE IN THE ALTERNATIVE REDEVELOPMENT ' PROGRAM CRA-2011-49 MOTION BY AGENCY MEMBER MCNABOE, SECOND.BY AGENCY MEMBER HAYS, CARRIED 4-0-1-0(CHAIRMAN STANCKIEWITZ WAS ABSENT), to adopt a Resolution of the of the Community Redevelopment , Agency of the City of Grand Terrace Approving the Agreement to Transfer Tax Increment by and between the Agency and the City of Grand Terrace and Making Certain.Findings in Connection Therewith. 3. ADOPTION OF THE INITIAL RECOGNIZED OBLIGATION PAYMENT SCHEDULE CRA AGENDA ITEM NO. 72 sponsor would agree to exempt the City from liability for their work associated with construction and maintenance of the improvements. The Committee has provided a few samples of probable project components, which are also attached to this report (Attachment No. 2). A seating area will be included in the COUNCIL AGENDA ITEM NO. so 61 m and photo cells on the motion sensor lighting. TASK 19 - Site Utilities Plan for Sewer and Water will be designed including connections to existing facilities. TASK 20 - The park will require ADA compliant pedestrian walkway from the street to the park and from the parking area to the park. Currently,there is no sidewalk along Grand Terrace Road along park frontage. There is drainage inlet located along the Grand Terrace Road close to the southern boundary of the park. We will review parking needs and any possible public improvements with the City.
