The first public hearing regarding the plant approvals by the CEC will be conducted September 19 at the Norton Younglove Center in Highgrove. We are very proud of the work that has been done. Assistant City Manager Berry,stated that sometimes when you might get a little down in the City and certain things happen and you just want to cheer up, there is nothing better than going to the Child Care Center to see how many lives that the City helps. The Child Care Center does a wonderful job and the staff has been there for many years. It is an inspiration to go there. He reported that they held their walk-a-thon the other day that helps to raise money for new equipment. Councilmember Hilkey, read a Commendation for the Grand Terrace Child Care Center Celebrating 15 Years of Service and commending the staff for their dedication and professionalism in the care that they have provided to the community over the past fifteen years and their continued efforts into the future. Assistant City Manager Berry,introduced Cathy Varela,Director of the Grand Terrace Child Care Center. Cathy Varela,Director,Grand Terrace Child Care Center,stated that they feel honored to be acknowledge this evening. They have had the child care center in operation for fifteen years. The Program actually started 5 years prior to that with the school age program and the Tiny Tots program, so they have actually been in existence for over twenty years. She acknowledge Sandi AhSue, who was the director for thirteen years and thanked her for everything that she has taught them. She stated that when staff takes families on tours of the center there are a few things that they emphasize. They don't consider themselves babysitters and they do consider themselves as a facility that is beyond a child care center. They help families in many ways. They don't only care for their children everyday but when families have certain hills they need to climb they help them with their resources. They don't just care for the children but the families as well. She thanked Assistant City Manager Berry for all of his support and ideas. She introduced Cathy Toth who is in charge of the Pre- school and Tiny Tots Program and Mary Scott who is the school age coordinator. They as a team have made it work. State COPS Grant FY 06-07 Allocation PUBLIC COMMENT Anne Wade-Hornsby, 22656 Brentwood Street, indicated that she gave each of the Councilmembers a copy of what she is about to read which was taken directly from an audio of a meeting held on September 28, 2006 in regards to item 3A. The Approval of Check Register Dated September 28, 2006: The Mayor called upon Mr. Miller and Mr. Miller asked the following question,which was answered by the City Manager,Mr. Tom Schwab. "I just want an explanation on the first page the last item the Corporation For Better Housing the expenses for Grand Terrace Road $182,604, could you give me an update on what is made up of that cost." The response from the City Manager was "those fees are costs and are primarily engineering,architectural design and legal costs. Only$186,000 being paid on this check register. We've actually expended more than a million dollars so far on the Senior Project and that has mostly been building fees, all the building path to park fees,street fees, which have already been paid. There has been a substantial amount of money that has been put out so far. As you may recall,we have budgeted approximately 9 million dollars toward that project. This is a progress payment towards work being done for the senior housing project." She gave each Councilmember a copy of the money spent so far on vouchers that are actually recorded and it comes to be $3,125,000 plus she stated that the City received $518,116 from the State in addition to this for a project that has effectively been halted by the courts. There must have been a misunderstanding somewhere because all of this money has definately been spent. She questioned why there is a discrepancy and why the City has spent more than 3 million dollars, that could go to Child Care Services or something, on a project that the court has stopped. Cynthia Bidney, 12219 Pascal, informed the Council and Public that there is an effort to provide the public with a get to know your candidate public meeting that is open to the public during hours the public can be available to attend. There is another effort but it's scheduled for 11:00 a.m. and working people can't attend. Both candidate Wilson and Dodd have committed to making any adjustments necessary to attend. The preferred time and place to hold this event would be immediately after the next City Council Meeting in Chambers and broadcasted on channel 3 live and have tapes available for viewing for those members of the community who missed the original broadcast. Ideally the meeting could be re-broadcasted on channel 3 several times a week in place of the Grand Terrace Days Parade or Child Care Center fundraisers. If channel 3 is not available to record the event, it can be recorded and posted on u2 for those who have computer and internet viewing. 'If this Council Chamber is not available, she asked that the Council identify which public facility,ball park or park will be available for this purpose. Article 1: Landscape Architect's Basic and Additional Services: A. Landscape Architect's Basic Services are: 1. Schematic Design Phase a. Prepare conceptual Schematic Design drawings that illustrate the scale and relationship of the Project components. 1. 100% submittal plans. 2. Colored renderings of necessary components. b. Attend 1 community input meeting and client and city meetings as required. c. Assist with agency submittal process. 1. Provide required quantity and type of plans to agency. 2. Client agrees to provide Landscape Architect with all information, surveys, reports, and professional recommendations and any other related items requested by Landscape Architect in order to provide its professional services. Landscape Architect may rely on the accuracy and completeness of these items. B. Client shall furnish the services of the following consultants: Civil Engineering,Architecture, Structural Engineering, Mechanical Engineering, Interior Design and other trades as required to formalize the building, site and external coordination. C. Client agrees to advise Landscape Architect of any known or suspected contaminants at the Project site. Client shall be solely responsible for all subsurface soil conditions. D. Client will obtain and pay for all necessary permits from authorities with jurisdiction over the Project. E. Client agrees to provide the items described in Article 2.A and to render decisions in a timely manner so as not to delay the orderly and sequential progress of Landscape Architect's services. Article 3: Estimated Schedule and Project Budget A. Landscape Architect shall render its services as expeditiously as is consistent with professional skill and care. During the course of the Project, anticipated and unanticipated events may impact any Project schedule. B. Client agrees to promptly notify Landscape Architect if Client's schedule or budget changes. Client acknowledges that significant changes to the Project or construction schedule or budget, or to the. Project's scope may require Additional Services of Landscape Architect. Article 4: Compensation and Payments A. Client agrees to pay Landscape Architect as follows: 1. Basic Services: a. Plan preparation thru Construction documents: Fixed Fee. b. Bidding and Construction administration: Per separate contract. 2. Additional Services:.Subject to Contract amendment signed and executed by both Client and Landscape architect. B. Reimbursable Expenses shall be billed as outlined in Attachment II. C. Landscape Architect shall bill Client for Basic,Additional Services and Reimbursable Expenses once a month, on the first day of the month. All payments are due to Landscape Architect no later than the first day of the following month. D. An amount equal to fifteen percent(15%) per month will be charged on all amounts due more than 90 days after the date of invoice beginning after the 90 day period. Article 5: Termination A. Either Client or Landscape Architect may terminate this Agreement upon seven days written notice. B. If terminated, Client agrees to pay Landscape Architect for all Basic and Additional Services rendered and Reimbursable Expenses incurred up to the date of termination. C. Upon not less than seven days'written notice, Landscape Architect may suspend the performance of its services if Client fails to pay Landscape Architect in full for services rendered or expenses incurred. Client and Landscape Architect agree to mediate claims or disputes arising out of or relating to this Agreement before initiating litigation. The mediation shall be conducted by a mediation service acceptable to the parties. A party shall make a demand for mediation within a reasonable time after a claim or dispute arises, and the parties agree to mediate in good faith. In no event shall any demand for mediation be made after such claim or dispute would be barred by applicable law. Mediation fees shall be shared equally. Article 7: Miscellaneous Provisions. A. This Agreement is governed by the law of Landscape Architect's principal place of business. B. This Agreement is the entire and integrated agreement between Client and Landscape Architect and supersedes all prior negotiations, statements or agreements, either written or oral. The parties may amend this Agreement only by a written instrument signed by both Client and Landscape Architect. C. In the event that any term or provision of this Agreement is found to be unenforceable or invalid for any reason, the remainder of this Agreement shall continue in full force and effect, and the parties agree that any unenforceable or invalid term or provision shall be amended to the minimum extent required to make such term or provision enforceable and valid. D. Neither Client nor Landscape Architect shall assign this Agreement without the written consent of the other. E. Irrespective of any other term in this Agreement, Landscape Architect shall not control or be responsible for construction means, methods, techniques, schedules, sequences or procedures; or for construction safety or any other related programs; or for another parties'errors or omissions or for another parties'failure to complete their work or services in accordance with Landscape.Architect's documents. F. Client agrees to indemnify, defend and hold Landscape Architect harmless from and against any and all claims, liabilities, suits, demands, losses, costs and expenses, including, but not limited to, reasonable attorneys'fees and all legal expenses and fees incurred through appeal, and all interest thereon, accruing or resulting to any and all persons, firms or any other legal entities on account of any damages or losses to property or persons, including injuries or death, or economic losses, arising out of the Project and/or this Agreement, except that the Landscape Architect shall not be entitled to be indemnified to the extent such damages or losses are found by a court or forum of competent jurisdiction to be caused by Landscape Architect's negligent errors or omissions. G. Should any legal proceeding be commenced between the parties to this Agreement seeking to enforce any of its provisions, including, but not limited to, fee provisions, the prevailing party in such proceeding shall be entitled, in addition to such other relief as may be granted, to a reasonable sum for attorneys' and expert witnesses'fees, which shall be determined by the court or forum in such a proceeding or in a separate action brought for that purpose. For purposes of this provision, "prevailing party"shall include a party that dismisses an action for recovery hereunder in exchange for payment of the sum allegedly due, performance of covenants allegedly breached, or consideration substantially equal to the relief sought in the action or proceeding. H. Client and Landscape Architect waive consequential damages for any claims, disputes or other matters in question arising out of or relating to this Agreement. Landscape Architect's waiver of consequential damages, however, is contingent upon the Client requiring contractor and its subcontractors to waive all consequential damages against Landscape Architect for claims, disputes or other matters in question arising out of or relating to the Project. Client or Landscape Architect, as appropriate, shall require of the contractors, consultants, agents and employees of any of them similar waivers in favor of the other parties described in this paragraph. J. Client acknowledges and agrees that proper Project maintenance is required after the Project is complete. A lack of or improper maintenance may result in damage to property or persons. Client further acknowledges and agrees that, as between the parties to this Agreement, Client is solely responsible for the results of any lack of or improper maintenance. K. Nothing in this Agreement shall create a contractual relationship for the benefit of any third party. L. If this Agreement is not signed and returned to Landscape Architect within 10 business days, the offer to perform the described services may,.in Landscape Architect's sole discretion, be withdrawn and be null and void. E. Irrespective of any other term in this Agreement, Landscape Architect shall not control or be responsible for construction means, methods, techniques, schedules, sequences or procedures; or for construction safety or any other related programs; or for another parties'errors or omissions or for another parties'failure to complete their work or services in accordance with Landscape.Architect's documents. F. Client agrees to indemnify, defend and hold Landscape Architect harmless from and against any and all claims, liabilities, suits, demands, losses, costs and expenses, including, but not limited to, reasonable attorneys'fees and all legal expenses and fees incurred through appeal, and all interest thereon, accruing or resulting to any and all persons, firms or any other legal entities on account of any damages or losses to property or persons, including injuries or death, or economic losses, arising out of the Project and/or this Agreement, except that the Landscape Architect shall not be entitled to be indemnified to the extent such damages or losses are found by a court or forum of competent jurisdiction to be caused by Landscape Architect's negligent errors or omissions. G. Should any legal proceeding be commenced between the parties to this Agreement seeking to enforce any of its provisions, including, but not limited to, fee provisions, the prevailing party in such proceeding shall be entitled, in addition to such other relief as may be granted, to a reasonable sum for attorneys' and expert witnesses'fees, which shall be determined by the court or forum in such a proceeding or in a separate action brought for that purpose. For purposes of this provision, "prevailing party"shall include a party that dismisses an action for recovery hereunder in exchange for payment of the sum allegedly due, performance of covenants allegedly breached, or consideration substantially equal to the relief sought in the action or proceeding. H. Client and Landscape Architect waive consequential damages for any claims, disputes or other matters in question arising out of or relating to this Agreement. Landscape Architect's waiver of consequential damages, however, is contingent upon the Client requiring contractor and its subcontractors to waive all consequential damages against Landscape Architect for claims, disputes or other matters in question arising out of or relating to the Project. Reimbursable expenses billed at cost plus 15% include the following: 1. Expense of reproduction including: printing, plotting, large format copying, scanning, photo reproductions, postage and handling of drawings and specifications. 2. Special exhibits, mounted renderings and photographs. 3. Fees paid for securing approval of agencies having jurisdiction over the project (plan check fees, variance application, etc...). 4. Outside Consultant Services, when authorized by the Client. 5. Courier services. 6. Air transportation, overnight lodging, and travel expenses. TERMS AND CONDITIONS OF PAYMENT: Landscape Architect shall bill Client for Basic,Additional Services and Reimbursable Expenses once a week for the duration of the project. All payments are due to Landscape Architect per the terms described in Attachment I,Article 4. An amount equal to fifteen percent (15%) per month will be charged on all amounts due more than 90 days after the date of invoice beginning after the 90 day period.
